Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of the Health Compass application, website, and related services operated by Health Compass LLC (“Health Compass,” “HC,” “we,” “our,” or “us”). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Medical & Wellness Disclaimer (collectively, the “Agreement”). If you do not agree, do not use the Service.
1) Definitions
- Service: The
Health Compass app, website, dashboards, AI-assisted features, caregiver
portal, content hub, and any related tools.
- User/You: Any
individual who creates an account or uses the Service, including
caregivers using shared access.
- Custom
Item: Any medicine, supplement, or
health-related entry that you manually add to the system.
- Subscription: Paid
access to features, including app-store purchases and direct billing.
2) Eligibility and Account
- You
must be at least 16 to use the Service. If you are between 16–18 (or
applicable age of majority), use the Service only with parent/guardian
consent.
- Provide
accurate information and keep your credentials secure. You are responsible
for all activity under your account.
- Two-factor
authentication (2FA) may be required for additional security.
3) Caregiver Access
- You
may grant caregiver access to view or assist with your routines and logs.
You control and may revoke caregiver access at any time.
- You
are responsible for ensuring you have authority to share information with
caregivers and for any actions performed by caregivers under access you
grant.
4) User-Added Medicines/Supplements (Custom
Items)
- You
may add Custom Items to the system.
- Your
responsibility: You are solely responsible for the legality,
safety, and accuracy of any Custom Item you add, including dosage,
timing, and any descriptions.
- No
validation by HC: Health Compass does not endorse,
validate, or guarantee user-added content and assumes no liability
for unethical, unsafe, inaccurate, or illegal entries.
- Misuse: We
may remove Custom Items and suspend or terminate accounts that misuse the
Service (see Section 15).
Inline notice on add: Each time
you add a Custom Item, you will see a short notice:
“Custom items are user-added. You are
responsible for accuracy, legality, and safety. Health Compass does not
validate or guarantee user-added items. For medical questions, consult a
licensed clinician.”
5) Health Guidance Limitations
- Health
Compass is a wellness tool and not a medical provider,
hospital, pharmacy, or emergency service.
- All
recommendations, insights, reminders, AI outputs, and content are for educational/informational
purposes only and are not medical advice.
- Always
consult licensed professionals before starting, stopping, or changing any
medication, supplement, or health routine. In an emergency, call your
local emergency number.
6) AI-Assisted Features and Content
- The
Service may include AI-assisted features (CG & SacraMind layer) that
transform or summarize the data you provide to offer reminders, insights,
and patterns.
- AI
outputs may be incomplete or inaccurate and should be reviewed critically.
You remain responsible for the decisions you make based on AI outputs.
- We may
log prompts and responses for safety, abuse prevention, and quality
improvement, in accordance with our Privacy Policy.
7) Subscriptions, Payments, and Taxes
- App
stores: If you purchase via Apple App Store or
Google Play, those platforms process payment and calculate/collect
taxes under their terms. Refunds, billing, and disputes are governed
by the platform’s policies.
- Direct
billing: If available, direct subscriptions are
processed by Stripe. Stripe auto-calculates applicable taxes.
Health Compass is not responsible for tax assessments beyond what
platforms/Stripe calculate and collect.
- Changes: We
may change plan features, pricing, and taxes as permitted by applicable
law. Platform terms may also change and control for app-store purchases.
- Renewals/Cancellations:
Manage your plan through the platform or in-app settings. Cancellations
take effect at the end of the current billing period unless stated
otherwise by the platform.
8) Refunds
- For
app-store purchases, refunds are handled by Apple/Google per their
policies.
- For
Stripe direct billing, refunds (if any) follow our then-current refund
policy posted in-app or on our website.
9) International Use and Compliance
- The
Service may be accessible worldwide. We do not warrant that the Service is
lawful or appropriate in every jurisdiction. You are responsible for
compliance with local laws.
- We may
restrict or limit access to certain features or regions to comply with law
or platform requirements.
10) Acceptable Use
You agree not to:
- Add,
promote, or distribute illegal, unsafe, or unethical drugs; or
misrepresent items you add.
- Violate
third-party rights or laws; upload malicious code; attempt to probe or
breach security.
- Harass,
threaten, or misuse caregiver or shared-access features.
- Scrape,
reverse engineer (except as permitted by law), or resell the Service.
We may monitor and log activity to secure the
Service and enforce these Terms.
11) Third-Party Services and Links
- The
Service may integrate with or link to third parties (e.g., wearables,
telemedicine partners, educational sources, marketplaces). Each third
party’s use of data is governed by its own terms and privacy policy.
- Health
Compass is not responsible for third-party services and does not control
their availability or accuracy.
12) Intellectual Property
- The
Service, including content we provide, is owned by Health Compass or our
licensors and is protected by IP laws. You receive a limited,
non-exclusive, non-transferable license to use the Service for personal,
non-commercial purposes.
- Feedback: If
you submit feedback or suggestions, you grant HC a perpetual, worldwide,
royalty-free license to use them without obligation.
13) Marketplace, Affiliates, and Pricing
Information
- If we
show links to third-party products, including supplements, those are
provided for convenience and may include affiliate links. Prices and
availability can change at any time.
- HC
does not sell these products, does not guarantee product quality or
claims, and is not a party to your transactions with third-party sellers.
14) Disclaimers
- The
Service is provided “as is” and “as available.” To the maximum extent
permitted by law, HC disclaims all warranties, express or implied,
including merchantability, fitness for a particular purpose, accuracy, and
non-infringement.
- We do
not guarantee that the Service will be uninterrupted, secure, or
error-free.
15) Limitation of Liability
To the maximum extent permitted by law:
- HC
will not be liable for any indirect, incidental, special,
consequential, or punitive damages, or for loss of data, profits, or
goodwill, arising from or related to your use of the Service.
- HC’s
total liability for any claim arising out of or relating to the Service
will not exceed the greater of: (a) the amounts you paid to HC in the 12
months preceding the claim, or (b) USD $100.
Some jurisdictions do not allow certain
limitations; in those places, the above limits apply to the fullest extent
permitted.
16) Indemnification
You agree to defend, indemnify, and hold
harmless Health Compass and our affiliates, officers, employees, and agents
from any claims, liabilities, damages, losses, and expenses (including
reasonable legal fees) arising out of or related to:
- Your
use or misuse of the Service,
- Your
Custom Items or other content you add,
- Your
violation of these Terms or applicable law, or
- Your
interactions with third-party services.
17) Suspension and Termination
- We may
suspend or terminate access immediately if we believe you violated these
Terms, engaged in unlawful or unsafe activity, or pose a risk to users or
the Service.
- You
may stop using the Service at any time and request account deletion per
our Privacy Policy.
18) Changes to the Service and Terms
- We may
modify or discontinue features at any time with or without notice,
consistent with applicable law.
- We may
update these Terms. When we do, we will update the “Last updated” date
and, where required, provide notice or seek consent. Continued use after
changes means you accept the updated Terms.
19) One-Time Global Acceptance and Inline
Notice
- At
sign-up or first login after an update, you will be shown the Terms
& Conditions, Privacy Policy, and Medical & Wellness
Disclaimer for one-time global acceptance. You may review these
documents at any time in Settings.
- When
you add a Custom Item, you will also see the short inline notice
described in Section 4.
20) Dispute Resolution, Governing Law, and
Venue

Governing Law: These Terms are governed
by the laws of the State of California, USA, without regard to conflicts of law
principles.

Dispute Resolution: Any disputes arising
under these Terms shall be resolved by binding arbitration administered by the
American Arbitration Association (AAA) in accordance with its Commercial
Arbitration Rules.

Venue: The venue for arbitration shall be
California, unless otherwise agreed by the parties.
- You
and HC waive any right to a jury trial or to participate in a class
action to the fullest extent permitted by law.
These Terms shall be governed by and construed
in accordance with the laws of the State of California, without regard to
conflict of law principles. Any disputes arising under these Terms shall be
resolved by binding arbitration administered by the American Arbitration
Association (AAA) in accordance with its Commercial Arbitration Rules. The
venue for arbitration shall be California, unless otherwise agreed by the
parties.
(If arbitration/class waiver is not
enforceable in your jurisdiction, this section applies to the maximum extent
permitted.)
21) International Provisions
- If you
access the Service outside the U.S., you are responsible for compliance
with your local laws and regulations. We do not guarantee that the Service
is appropriate or available in every jurisdiction.
- Data
transfers are explained in the Privacy Policy. We use appropriate
safeguards where required.

23) Miscellaneous
- If any
provision of these Terms is found unenforceable, the remaining provisions
will remain in full force and effect.
- No
waiver of any term is a further or continuing waiver of that term or any
other term.
- These
Terms constitute the entire agreement between you and HC regarding the
Service, and supersede prior agreements relating to the Service.
